These Terms & Conditions (“Terms”) govern access to and use of:

• and any associated websites, storefronts, products, services, communications, and online platforms operated by Nova DDMC Limited (collectively, the “Website”).

Overlord and Zubastik are product brands operated by Nova DDMC Limited.

By accessing the Website or placing an order, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the Website or purchase products from us.

Nova DDMC Limited develops and distributes precision mechanical products and related equipment, including enthusiast and professional-use products marketed under various brands.

Certain products may be classified as precision mechanical equipment intended for enthusiast, specialty, or professional use. Customers acknowledge that such products may require proper handling, maintenance, cleaning, calibration, and operation consistent with product documentation and instructions.

7. Orders & Acceptance
All orders submitted through the Website are subject to acceptance by Nova DDMC Limited.

The Company reserves the right to:
• refuse or cancel orders;
• limit quantities per customer or household;
• decline transactions suspected of fraud, abuse, payment irregularities, sanctions violations, or unauthorised commercial resale activity;
• cancel accepted orders prior to shipment if fulfilment becomes impractical due to circumstances outside the Company’s reasonable control, including supplier failure, export restrictions, production impossibility, or Force Majeure Events, with a full refund issued;
• correct pricing, typographical, inventory, or listing errors prior to fulfilment — where a material error has occurred, the Company will notify the customer and offer the option to proceed at the correct price or receive a full refund.

Submission of an order does not guarantee acceptance or shipment. An order is considered accepted once the customer receives formal order confirmation from the Company.

8. Pre-Orders & Production-Based Fulfilment
Certain products may be offered on a pre-order or batch-production basis.

Customers acknowledge that pre-order products:
• may require manufacturing, sourcing, assembly, calibration, quality control inspection, packaging, or export preparation before shipment;
• may involve estimated fulfilment timelines rather than guaranteed shipment dates;
• may be subject to delays arising from production constraints, supplier issues, quality control requirements, logistics disruptions, customs procedures, Force Majeure Events (as defined in Section 18), or circumstances outside the Company’s reasonable control.

Estimated production, fulfilment, and delivery timelines are provided in good faith but are not guaranteed unless explicitly stated otherwise.

Customers may cancel pre-order orders prior to shipment for a full refund unless otherwise stated in a product-specific Pre-Order Policy or commercial agreement. Approved pre-order refunds are generally processed to the original payment method within 14 business days, although banking and payment processing times may vary.

If fulfilment of a pre-order becomes materially delayed or impossible, the Company reserves the right to revise estimated shipment timelines, suspend fulfilment temporarily, cancel affected orders, and issue refunds where appropriate.

Nothing in this Section limits mandatory statutory cancellation or withdrawal rights that may apply under applicable consumer protection laws.

9. Pricing, Taxes & Payments
All prices displayed on the Website are listed in the applicable currency shown at checkout unless otherwise stated.

Prices may include applicable local sales taxes where required by law. Import duties, customs fees, VAT, GST, destination-country taxes, brokerage fees, and similar charges imposed by the customer’s jurisdiction remain the responsibility of the customer unless explicitly stated otherwise at checkout.

Nova DDMC Limited reserves the right to update pricing, modify product availability, correct pricing or listing errors, and limit or withdraw promotional offers. Pricing applicable to an accepted order will not be increased after order confirmation.

Accepted payment methods may vary by region, product category, or transaction type and will be displayed at checkout. By submitting payment information, you authorise the Company to process payment through its designated payment provider.

10. Shipping & Delivery
Shipping availability may vary by region. The Company reserves the right to restrict or decline shipments to certain countries, jurisdictions, individuals, or addresses in order to comply with applicable laws, export restrictions, sanctions requirements, carrier limitations, or operational constraints.

Delivery estimates are informational only and do not constitute guaranteed delivery dates.

Nova DDMC Limited is not responsible for delays caused by:
• customs processing or import procedures;
• shipping carrier delays or failures;
• Force Majeure Events (as defined in Section 18);
• political disruptions or transportation interruptions;
• inaccurate or incomplete customer-provided shipping information.

Risk of loss and title to products transfer to the customer upon confirmed delivery by the shipping carrier to the shipping address provided during checkout, unless otherwise required by applicable law. If a carrier’s tracking record indicates delivery but the customer reports non-receipt, the customer should contact the Company promptly so that the Company may investigate with the relevant carrier.

Unless otherwise explicitly stated at checkout, customers are responsible for all applicable import duties, taxes, customs clearance charges, and destination-country fees. The Company is not responsible for delays or additional costs arising from customs procedures in the destination country.

11. Returns, Refunds & Limited Warranty
Nova DDMC Limited may provide product-specific return, refund, exchange, servicing, and limited warranty policies depending on the applicable product category.

Unless otherwise specified in a product-specific policy:
• return requests must generally be submitted within 14 calendar days of physical receipt of the product by the customer or their designated recipient;
• returned items must be returned in substantially original condition and packaging, unused for their intended functional purpose;
• customers are generally responsible for non-defective return shipping costs, including any applicable customs charges, duties, taxes, and associated fees;
• refunds are generally processed to the original payment method within 14 business days after the returned product is received and inspected.

Used products, food-contact products that have been used, damaged products, modified products, or products showing signs of misuse may be ineligible for return except where required by applicable law.

Product-specific Limited Warranty Policies may define warranty periods, exclusions, servicing procedures, repairability terms, compatibility limitations, approved maintenance procedures, commercial-use limitations, and regional servicing availability.

Nothing in these Terms limits mandatory statutory consumer rights applicable in the customer’s jurisdiction.

12. Cooling-Off & Distance Selling Rights
If you are a consumer located in the European Union, the United Kingdom, or another jurisdiction with mandatory distance selling or cooling-off legislation, you may have the right to cancel your order within a statutory period after delivery — commonly 14 days under EU and UK law — without providing a reason.

To exercise this right, you must notify the Company in writing (including by email to info@novaddmc.com) within the applicable statutory period, clearly identifying your order. The Company will provide return instructions.

The following conditions generally apply to cooling-off returns:
• products should be returned in substantially original condition, subject to any statutory consumer rights permitting reasonable inspection or handling;
• you are responsible for the direct cost of returning the product unless applicable law requires otherwise;
• refunds will be issued within the timeframe required by applicable law, typically within 14 days of confirmed return receipt or proof of return despatch.

For pre-orders and batch-production products, cooling-off rights may be modified by applicable law in certain jurisdictions. Product-specific Pre-Order Terms will address this where relevant.

This Section does not limit any statutory rights you may have under mandatory consumer protection legislation in your jurisdiction.

13. Third-Party Components & Compatibility
Certain products sold by the Company may support compatibility with third-party components, accessories, consumables, or modular systems.

Unless explicitly stated otherwise:
• third-party products are not manufactured, certified, guaranteed, or controlled by Nova DDMC Limited;
• compatibility references may be informational only;
• use of third-party components is undertaken at the customer’s own discretion and risk.

Nova DDMC Limited is not responsible for performance of third-party components, manufacturing tolerances of third-party products, compatibility issues, installation errors, or damage caused by unauthorised or incompatible components.

Additional compatibility policies may apply to specific products or systems.

14. Product Handling, Maintenance & User Responsibility
Customers are responsible for operating products safely and responsibly, following maintenance, cleaning, safety, and handling instructions, and using products only for their intended purpose.

Products involving precision mechanical assemblies, sharp components, heavy components, or food-contact surfaces require appropriate care and handling.

Customers acknowledge that improper maintenance, misuse, unauthorised modification, prohibited disassembly, accidental damage, abuse, improper cleaning, use of unsuitable substances or materials, or use inconsistent with product documentation may void applicable limited warranty coverage.

Specific maintenance and disassembly guidance may be provided in product documentation or product-specific policies.

15. Intellectual Property
All Website content, including but not limited to product designs, branding, trademarks, photographs, renderings, written content, technical materials, graphics, logos, software, and documentation, is owned by or licensed to Nova DDMC Limited unless otherwise stated.

No portion of the Website or its content may be copied, reproduced, distributed, modified, or commercially exploited without prior written permission from the Company.

16. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under mandatory consumer protection legislation.

Subject to the above, and to the maximum extent permitted by applicable law, the total liability of Nova DDMC Limited arising from or relating to any order, product, or claim shall not exceed the amount actually paid by the customer for the specific product giving rise to the claim.

Subject to the above, and to the maximum extent permitted by applicable law, Nova DDMC Limited shall not be liable for:
• indirect, incidental, or consequential damages;
• loss of profits or business opportunity;
• loss of data;
• shipping delays or carrier failures;
• customs-related losses or delays;
• third-party service failures;
• damage arising from misuse, modification, or use of incompatible third-party components.

17. Indemnification
To the extent permitted by applicable law, customers agree to indemnify and hold harmless Nova DDMC Limited, its directors, officers, affiliates, contractors, and representatives from claims, liabilities, damages, losses, and expenses arising from:
• misuse of products;
• violation of these Terms;
• unauthorised modification of products;
• unlawful activity;
• damage caused by improper use of third-party components.

18. Force Majeure
Nova DDMC Limited shall not be liable for delays, failures, or inability to perform obligations arising from events beyond its reasonable control (“Force Majeure Events”), including but not limited to:
• natural disasters, floods, fires, or extreme weather events;
• pandemics, epidemics, or public health emergencies;
• war, terrorism, or civil unrest;
• government actions, export restrictions, or sanctions;
• labour disputes or transportation disruptions;
• manufacturing facility disruption or critical supplier failures;
• utility failures or internet or communications outages.

In such circumstances, fulfilment timelines and obligations may be reasonably extended. If fulfilment becomes impossible for an extended period, the Company may cancel affected orders and issue full refunds.

19. Export Controls & Sanctions Compliance
Products sold through the Website are subject to applicable export control laws and trade sanctions regulations. By purchasing, you represent and warrant that:
• you are not located in, or acting on behalf of a person located in, a jurisdiction subject to applicable trade sanctions;
• you are not listed on any applicable government denied-party or sanctions list;
• you will not re-export or transfer products in violation of applicable export control laws.

The Company reserves the right to decline or cancel orders that would result in a violation of applicable export control or sanctions regulations.

20. Commercial Purchases
Nova DDMC Limited may offer products or services for commercial customers, specialty cafés, distributors, resellers, and institutional buyers.

Commercial transactions may be subject to separate agreements, pricing structures, servicing terms, warranty limitations, or regional distribution arrangements. Consumer-specific provisions in these Terms, including cooling-off rights under Section 12, do not apply to commercial purchases.

21. Dispute Resolution
The Company is committed to resolving customer concerns promptly and fairly.

If you have a complaint or dispute, please contact the Company in writing at info@novaddmc.com, clearly describing the issue and the resolution you are seeking. The Company will use reasonable efforts to acknowledge your complaint within 5 business days and to provide a substantive response within 14 business days.

Prior to initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good faith written negotiation for a period of not less than 30 days from the date of written notice of the dispute.

Nothing in this Section limits rights available under mandatory consumer protection laws, including rights to access local courts or statutory dispute resolution schemes.

22. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.

Any disputes arising from these Terms or use of the Website shall be subject to the jurisdiction of the courts of Hong Kong, except that where mandatory consumer protection laws in your jurisdiction require that disputes be resolved by local courts or provide mandatory jurisdictional rights, those rights are not affected by this clause.

Nothing in these Terms excludes, limits, or overrides mandatory consumer protection rights applicable under the laws of the customer’s jurisdiction.

23. Severability, Waiver & Entire Agreement
If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Failure by Nova DDMC Limited to enforce any provision of these Terms on any occasion shall not constitute a waiver of that provision or of the Company’s right to enforce it in the future.

These Terms, together with applicable product-specific policies and the Privacy Policy, constitute the entire agreement between the customer and Nova DDMC Limited regarding use of the Website and purchase of products, and supersede all prior representations, warranties, or understandings relating to that subject matter.

To the maximum extent permitted by applicable law, any claim arising from a purchase must be brought within 2 years of the date on which the cause of action accrued, except where a longer period is mandated by applicable consumer protection law.

24. Changes to Terms
Nova DDMC Limited reserves the right to update or revise these Terms periodically. Where changes are material, the Company will use reasonable efforts to provide advance notice prior to the updated Terms taking effect, which may include notification on the Website or by email to registered customers.

Updated Terms apply to orders placed after the effective date of the updated version. Orders placed prior to that date remain governed by the Terms in effect at the time of order placement, unless otherwise required by applicable law.

Continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms for future transactions.
